Terms of Service

These Terms of Service ("Terms") govern your use of the ClipLab Pro desktop application ("Software"), the cliplabpro.com website, and related services (collectively, the "Service"), all operated by Agency Edge LLC ("we", "us", "our"). By downloading, installing, or using the Software you agree to these Terms.

1. License grant

During the private alpha, approved testers receive a free, non-exclusive, non-transferable, revocable Founder Alpha license to install and use ClipLab Pro on up to three (3) physical machines that they own or control, for personal or commercial creative use.

Paid launch pricing, maintenance, and commercial purchase terms are archived for now and may change before public release.

3. Your footage and projects

ClipLab Pro processes your video content on your device. We claim no ownership or rights in any footage, audio, transcripts, or rendered output you create with the Software. You retain all rights to your content. You are solely responsible for ensuring you have the right to use and publish the source material you run through the Software.

If you use YouTube OAuth upload, you authorize the Software to connect to Google/YouTube for the account, upload, and metadata actions you initiate. Google's terms and policies apply to anything you send to YouTube.

4. Prohibited uses

You may not, and may not permit others to:

  • Redistribute, resell, sublicense, rent, or lease the Software;
  • Reverse-engineer, decompile, or disassemble the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation;
  • Bypass, disable, or tamper with the licensing or watermark systems;
  • Use the Software to process content that is unlawful, defamatory, infringing, or that you do not have the right to use;
  • Share license keys, fingerprint-spoof machines, or otherwise attempt to exceed the 3-machine activation limit.

5. Updates and maintenance

We may release updates to the Software at our discretion. During private alpha, approved testers may receive updates as builds are made available. Future paid maintenance/update terms are archived until public launch.

The Software may check an update manifest and download application updates, runtime packages, AI models, and plugin packages from our CDN. Downloaded packages may be required for particular features, channels, or supported versions.

During the Alpha period, the Software may contain bugs, may change behavior between releases, and may produce unexpected results. You accept these risks as part of using pre-release software.

6. Payments and refunds

There is no public paid checkout during the private alpha. Optional PayPal tips support development only; they do not purchase access, change license status, or change activation limits. Paid launch terms and refund details are archived until we open public sales.

7. Termination

We may suspend or revoke your license if you breach these Terms, commit fraud, or abuse the licensing system. Revoked licenses stop validating on next check-in (within 24 hours). You may uninstall the Software at any time.

8. Third-party components

The Software includes and relies on third-party open-source components including (but not limited to) Electron, FFmpeg, speech-to-text tools, local AI runtimes/models, and the Node.js runtime. Some runtime, model, and plugin files may be downloaded separately and verified before use. Each component is distributed under its own license; a complete list with attributions is viewable from Settings → About → Third-Party Licenses.

9. Disclaimer of warranties

THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. OUR AGGREGATE LIABILITY FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts of Delaware, and you consent to personal jurisdiction there.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email to active license holders and updated here with a new "Last updated" date. Continued use of the Software after a change constitutes acceptance.
